Notice of a General Meeting
Notice is hereby given that a General Meeting (the “Meeting”) of The British Horse Society Limited (the “Society”) will be held at The Stareton Hall, National Agricultural and Exhibition Centre, Stoneleigh Park, Stoneleigh, Kenilworth, CV8 2LZ on Tuesday 11 June 2019 at 7.00pm to discuss and vote on the proposed ordinary resolution:
To discuss and vote on the proposal of “No confidence in the Chairman, the Board of Trustees, and the Chief Executive of The British Horse Society”.
Under Article 25.2 notice of a General Meeting must be given or sent to all Voting Members. To ensure that the notice reaches our entire membership and those who choose not to use email or other forms of technology, the Society has taken action to mail the notice to all members. The notices are in the post and will arrive with you imminently. Please ensure that you open the letter and read all of the information that is enclosed. The envelopes are branded with our logo and read ‘Please open: General Meeting June 2019 information enclosed’.
As a member of the Society, you are entitled to appoint a proxy to exercise all or any of your rights to attend, speak and vote at the Meeting. You can only appoint a proxy using the procedures set out in the notes to the proxy form. The proxy form has been sent out with the Notice of General Meeting. You can use the proxy form or the online option to confirm your attendance at the General Meeting to be held on Tuesday 11 June at 7.00pm at The Stareton Hall, National Agricultural and Exhibition Centre, Stoneleigh Park, Stoneleigh, Kenilworth, CV8 2LZ or to appoint a proxy to vote on your behalf at the meeting. Full details of how to use the proxy form and submit it via post, or using the online form, are detailed on the form. If you have received the correspondence and are a family member, please contact email@example.com for additional copies of the proxy form.
Democracy Technology (Mi-Voice) are acting as independent scrutineer for the General Meeting on Tuesday 11 June and are responsible for the administration of the proxy votes both in advance of and at during registration before the meeting. Please ensure that if you are voting by hard copy proxy form, you return it to BHS 2019 General Meeting, Democracy Technology (Mi-Voice), Epsilon House, Enterprise Road, Southampton Science Park, Chilworth, Southampton SO16 7NS. It is vital that your proxy instruction arrives with Mi-Voice by 7.00pm on Friday, 7 June 2019, in order to be counted.
Statement from the Board of Trustees
A group of 42 out of our membership of over 107,000 members have requisitioned a General Meeting for the purpose of voting on a resolution proposed by that group. The requisition was submitted on 12 March and the proposed resolution is a vote of no confidence in the Chairman, the Chief Executive (in post at the time) and the Board of Trustees. The members have a right to call this meeting under the BHS Articles. The members did not include any reasons for proposing the resolution, but we hope you will support the Board in voting against the ordinary resolution which requires a simple majority to carry.
The Board of Trustees considers it appropriate to convene the meeting in advance of the forthcoming and significant rotation of Trustees that will happen at the Election Board Meeting in July 2019. The Society has taken legal advice in relation to the requisitioned General Meeting and is advised that the vote does not hold legal precedence, but is a political statement in regard to the governance of the Society.
2019 will bring a variety of new and exciting changes to your Society. The Trustee Elections are underway and four new Trustees will join the Board this year; bringing a new breadth of experience, knowledge and ideas to take the governance of the Society forward.
In April we said farewell to Lynn Petersen after she decided to retire from her post of Chief Executive. We are in the process of recruiting Lynn’s replacement and an advert will feature in Horse & Hound in due course.
The Trustees and Senior Management Team have held a number of Members’ Meetings throughout the UK and these will continue as we progress through 2019. These meetings have been extremely insightful and provided a platform for the Trustees to listen to Members and consider their invaluable input for inclusion to the future strategy of the Society.
